An exceptional opportunity for a NQ - 1Yr PQE funds solicitor to join our specialist team. We’re seeking a high-calibre transactional lawyer to support the team acting for a diverse client base. You’ll have strong academic background, keen to work with an ambitious team and keen for progression. A unique and exciting opportunity to undertaking a range of investment fund structuring and governance, and downstream deployment.
Our specialist team advise a wide range of clients from private and professional investors, specialist fund managers, family offices and business looking to raise capital. Whether this is in the venture capital, private equity, real-estate or other specialist investment market, our team of trusted advisers... combine specialist expertise in corporate and partnership law, public companies, regulation, financial services and tax with industry knowledge gained over many years to offer a genuine ‘one-stop shop’ service to clients over the entire investment funds life-cycle.
Peter leads on a wide range of corporate transactions, from fund structuring and launches to venture capital and private equity investments, disposals and restructurings. He has particular expertise in tax advantaged schemes including the Seed Enterprise Investment Scheme (SEIS), Enterprise Investment Scheme (EIS) and Venture Capital Trust Scheme (VCT) as well as M&A transactions in the renewable/flexible energy sector.
Sean has extensive expertise in the area of investment funds and corporate transactions, gained over the past 25 years acting for many of the world’s leading fund managers, investment banks and financial institutions across multiple jurisdictions. He has particular expertise in the formation and ongoing operation of offshore and domestic UK investment funds and co-investment structures.
This role will be working on a hybrid basis from our London hub.
What you will be doing:
• Leading fund reviews
• Drafting/reviewing/negotiating terms of key fund documents and amendments to existing documents, including:
• offering documents (PPMs and prospectuses);
• articles of association/limited partnership agreement;
• subscription agreement;
• investment management/investment advisory agreement;
• material service provider agreements for a fund;
• side letters; and
• dealing with ancillary documentation such as corporate authorisations
• Funds deployment work including handling a range of M&A, venture capital and private equity transactions including drafting/reviewing/negotiating key documents including:
• share purchase agreement;
• investment agreement;
• articles of association;
• loan note instrument/loan facility agreement;
• disclosure letter; and
• dealing with ancillary documentation such as corporate authorisations and managing legal due diligence.
What you will need:
Corporate experience with exposure to downstream M&A and PE/VC transactions including disclosure letters, indemnities, warranties and investment/acquisition documentation is essential in addition to specific funds experience.
Funds experience to consist of some or all of:
• structure and investment terms of a fund;
• fund governance;
• basic fund documentation
• management fee and performance fee drafting;
• carried interest provisions and clawback;
• risk disclosures;
• waterfall provisions and voting rights;
• transaction management (including funds flow);
• completion
Financial Regulation experience to consist of some or all of:
• FSMA/financial promotion
• dealing with the FCA
• regulated activities RAO/PERG/COBS
• collective investment schemes
• UK marketing/NPPR
Whilst not essential it would be a distinct advantage to be familiar with some or all of the following:
• regulations such as AIFMD, MiFID, SFDR and SDR;
• UCITS; and/or
• UK Listing Rules and UK Prospectus Rules
