As the Director & Legal Counsel, Investments you will provide integrated, strategic and risk-adjusted legal advice to help OTPP make better decisions on investment related matters across all asset classes. You will report to the Managing Director & Associate General Counsel based in our London office.
Who you'll work with
Together with the Investment Counsel team, you will work closely with OTPP investment professionals, as well as colleagues in the tax, compliance, government & public affairs, finance, risk and enterprise legal services teams.
What you'll do
Negotiating, structuring and executing complex cross-border M&A and investment transactions in private equity, infrastructure, real estate, venture/growth capital, private credit and investment funds
Provide legal advice in relation to the management and disposal of portfolio companies, including add-on acquisitions, reorganisations, refinancing, litigation & regulatory inquiries, and value creation initiatives
Collaborate with investment professionals and functional partners to identify and mitigate legal, reputational and other risks in accordance with OTPP’s strategic and commercial objectives
Assess the impact of statutory and regulatory frameworks and other legal obligations on OTPP’s investment activities and advise on corporate policies and procedures relating to investments and management of assets
· Retain and manage external legal counsel to advise OTPP on investment related matters and ultimately be accountable for the content and quality of external counsel’s advice
Assist external legal counsel in representing OTPP and its subsidiaries before regulators and courts in connection with investment matters
Monitor and provide advice on legislative and regulatory changes affecting investments and, where applicable, develop and submit OTPP positions in relation to such changes
Build relationships and communicate effectively with internal and external partners, including the Board, regulatory bodies, external counsel and investment partners
Act as legal representative at investment team meetings and committees as well as in dealings with portfolio companies and their GCs
Support the planning and implementation of critical initiatives in support of the strategy of the organisation and the Corporate Affairs Division
Manage multiple transactions for various asset groups and be innovative and creative to address novel situations
Independently manage transactions from a legal perspective and make informed decisions, form strategy and execute independently with minimal direction
Evaluate issues accurately, seek out input from specialists and escalate appropriately
Promote integration, partnership and collaboration across the Corporate Affairs Division and focus on knowledge sharing across the Investment Counsel team
Provide legal training to investment professionals
What you'll need
LLB/JD/equivalent degree with active membership/admission to a valid law society
7+ PQE gained in a leading international law firm and/or in-house focused on transactional (e.g. M&A, private equity, infrastructure, corporate finance) and legal advocacy work
Ability to operate in a fast-paced environment while juggling competing deadlines and prioritising issues and project managing legal workstreams
Leadership skills to direct and coordinate external counsel and consultants
Excellent commercial judgment and alignment with OTPP’s values and critical behaviours
Proficiency in critical thinking, problem-solving, negotiating, influencing, making practical recommendations and facilitating decisions among all levels
Strong presentation and communication skills and ability to adapt to the audience to deliver advice and advocate policy positions effectively
Proven experience building and maintaining strong cross-functional relationships and promoting teamwork within and across teams
Flexibility, adaptability, including working outside of traditional working hours and occasional international travel where needed to support transactions and projects
Highly motivated and professional with a growth mindset and integrity
